The Korean version of these Terms is the authoritative version. This English version is a translation provided for convenience; if the two versions differ, the Korean version prevails.

Revision History

1. Introduction and Acceptance of Terms

1.1. Contractual Relationship. These Terms of Use (“Terms”) constitute a legally binding agreement between you (the “Creator” or “you”) and SmartPlay Inc., a company organized under the laws of the Republic of Korea (the “Company,” “we,” “us,” or “our”). These Terms govern your access to and use of the PlayCamp website, mobile application, and related services (collectively, the “Platform” or “Services”), which serve as a matchmaking ecosystem connecting content creators with game developers and publishers (“Game Companies”). 1.2. Acceptance. By creating an Account, accessing the Platform, or participating in any Campaign, Quest, or Game Key distribution provided through PlayCamp, you expressly agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform. 1.3. Modifications. We may modify these Terms. We will announce the changes and the effective date on the Platform at least 7 days before the effective date. Significant changes unfavorable to creators will be announced at least 30 days before the effective date and notified to you individually by email or similar means. Your continued use of the Platform after the effective date constitutes your acceptance of the modified Terms.

2. Eligibility and Account Registration

2.1. Eligibility. To use the Platform, you represent and warrant that:
  • You are at least 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms;
  • You are not a person barred from receiving services under the laws of the United States, the EU, the Republic of Korea, or other applicable jurisdiction (e.g., you are not on the OFAC Specially Designated Nationals List); and
  • You have full power and authority to enter into this agreement, and doing so does not violate any other agreement to which you are a party.
2.2. Age Verification. We may request proof of age at any time. If we confirm that you are under 18 years of age, we may delete your account immediately to comply with relevant laws, or suspend your Account and withhold any pending payments. We do not accept registrations from persons under 18 through parental or guardian consent. 2.3. Account Creation and Accuracy. You must register for an account (“Account”) to access certain features. You warrant that the information provided during registration (including your name, contact details, payment information, and login information) is yours, accurate, complete, and current, and you agree to update it immediately if it changes. 2.4. Account Security. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify the Company immediately of any unauthorized use or suspected breach of security. The Company is not liable for any loss or damage arising from your failure to comply with this section.

3. License to Use the Platform

3.1. Limited License. Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for your internal business purposes as a content creator collaborating with Game Companies. 3.2. Restrictions. You shall not:
  • Commercial Exploitation: License, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Platform or its content separate from your authorized participation in Campaigns.
  • Reverse Engineering: Modify, disassemble, decompile, or reverse engineer any part of the Platform.
  • Competitive Use: Access the Platform in order to build a similar or competitive website, product, or service.
  • AI Training & Scraping: Use the Platform, or any content, data, or materials accessible through the Platform, to train, develop, test, or enhance any artificial intelligence system, large language model (LLM), or machine learning algorithm. You specifically agree not to scrape, ingest, or use outputs from the Platform to create datasets for AI training.
3.3. Ownership. All intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Platform and its content (excluding your User Content) are owned by the Company or its partners or suppliers. Neither these Terms nor your access to the Platform transfers to you any rights, title, or interest in such intellectual property rights, except for the limited access rights expressly set forth in Section 3.1.

4. Creator Code of Conduct and Prohibited Activities

4.1. General Conduct. You agree to use the Platform in a professional, ethical, and lawful manner. You shall not harass, abuse, or defame Game Companies or Campaigns. However, fact-based, legitimate criticism (reviews and evaluations) of a game or campaign is not considered a violation of this section and is not subject to penalties. 4.2. Prohibited Activities. To maintain the integrity of the PlayCamp ecosystem, you are strictly prohibited from:
  • Key Reselling: Selling, trading, or exchanging Game Keys received through the Platform on third-party marketplaces (e.g., G2A, Kinguin) or otherwise transferring them to third parties.
  • Metric Manipulation: Using bots, click-farms, “view-botting,” or any other means to alter or artificially inflate viewership, engagement metrics, or follower counts.
  • Spamming: Mass-applying to Campaigns without a genuine intent or ability to create relevant content.
  • Misrepresentation: Falsifying your audience demographics, location, or channel statistics.
  • Implied Endorsement: Using the Game Company’s or Platform’s logos/trademarks in a way that suggests you are an official partner or employee.
  • Ghosting: Failing to submit content after accepting a key or campaign.
  • Hostile Communication: Acting in an obnoxious, threatening, abusive, or harassing manner towards Game Companies, the Platform, or other Creators.
  • Hate Speech & Offensive Content: Publishing content that is malicious defamation or promotes racism, bigotry, hatred, illegal activities, doxing, or physical harm against any group or individual.
  • Objectionable Content: Content that is sexual, pornographic, vulgar, or harmful to minors.
4.3. Monitoring and Enforcement. The Company may monitor your activity on the Platform and may apply the graduated measures in Section 5.3 for violations of this Code of Conduct.

5. Campaigns, Assets, Keys, and Performance Metrics

5.1. Campaign Participation. Campaigns are specific marketing, operation, or service initiatives available for participation on the Platform. Your eligibility to participate in Campaigns and receive Game Keys or Game Assets may be determined by your “Creator Score,” an internal metric reflecting your reliability, Campaign completion rate, and compliance with these Terms. 5.2. Game Keys, Game Assets, and Deliverables. If you accept a Game Key or Game Asset or join a Campaign, you agree to:
  • Create and publish the required User Content (the “Deliverables”) within thirty (30) days, unless a different timeframe is specified in the Campaign details;
  • Keep the Deliverables publicly accessible for the duration required by the Campaign; and
  • Adhere to all specific instructions provided by the Game Company (e.g., embargo dates, specific hashtags).
5.3. Graduated Measures. If you fail to stream, upload, or submit Deliverables on time, publish Deliverables that materially fail to meet the Campaign requirements (e.g., wrong game, broken link), or do not abide by the Creator Code of Conduct, the Company may apply the following graduated measures in order, based on evidence. These measures may be reflected in your Creator Score. Exceptions to or additions to campaign-specific prohibitions are agreed in writing before the campaign starts. For serious violations such as fraud or illegal activity, the Company may immediately exclude you from the campaign and suspend your Account regardless of stage. Legitimate criticism of a game or campaign is not subject to these measures. 5.4. Return of Value. You acknowledge that Game Keys or Game Assets provided to you have commercial value. If you accept a Game Key or Game Asset but fail to publish the required Deliverables without a valid reason (as determined by the Company), the Company may suspend or terminate your Account or deduct such value from future Payouts owed to you. 5.5. Nothing in these Terms shall be construed to create an employer-employee relationship. You retain sole discretion over the manner and means of creating content, subject only to the Deliverable requirements.

6. Content Ownership and Licenses

6.1. User Content Ownership. As between you and the Company, you retain all ownership rights, title, and interest in the videos, streams, images, and other content you create and submit via the Platform (“User Content”). 6.2. License to Game Companies. By participating in a Campaign, you grant the applicable Game Company a non-exclusive, worldwide, royalty-free license to use, embed, and display your User Content solely for marketing the specific game title associated with the Campaign, for the duration specified in the Campaign details, but no less than 12 months after the Campaign. 6.3. Perpetual Platform Marketing License. Notwithstanding Section 6.2, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, and transferable license to use, reproduce, display, distribute, and modify your User Content solely for marketing, promoting, and advertising the PlayCamp Platform and the Company’s services in any media formats now known or hereafter developed (e.g., introducing your video in a “Success Stories” reel on our website). 6.4. Game IP. All intellectual property related to the games (e.g., characters, art, music, logos) (“Game IP”) is owned by the respective Game Companies. You are granted a limited, revocable license to use Game IP solely for creating Deliverables for accepted Campaigns in accordance with these Terms.

7. Regulatory Compliance and Disclosures

7.1. Mandatory Disclosures. You acknowledge that your participation in Campaigns constitutes a “material connection” between you and the Game Company under applicable laws, and you agree to disclose this connection in all User Content you publish.
  • KFTC Guidelines and Local Laws: You must comply with applicable laws, including the Korea Fair Trade Commission’s guidelines on endorsements and testimonials in advertising, the U.S. Federal Trade Commission’s (FTC) Guides Concerning the Use of Endorsements and Testimonials in Advertising, and the EU’s Unfair Commercial Practices Directive (UCPD).
  • Clear Labeling: If applicable, all User Content must include clear, conspicuous, and audible disclosures (e.g., “Paid promotion”, #ad, #sponsored, or “Sponsored by [Game Name]”) in the first sentence of the description, on-screen during the video, or as required by the specific platform (e.g., YouTube’s “Paid Promotion” feature).
7.2. Liability. You are solely responsible for ensuring your disclosures are compliant. The Company may withhold payment or suspend your Account if you fail to properly disclose paid or sponsored content.

8. Financial Terms and Payment

8.1. Merchant of Record. The Company (or its affiliates or partners) acts as the Merchant of Record for all Campaigns on the Platform. Game Companies pay the Company directly, and the Company is responsible for remitting the applicable Net Payout to you. Unless there is non-payment by Game Companies, your sole claim for payment is against the Company, subject to our receipt of funds from the Game Company. 8.2. Fees and Net Payout Calculation. Your compensation (“Net Payout”) is calculated as follows:
  • A. Service Commission: The Company retains a commission equal to twenty percent (20%) of the amount you receive from participating in Campaigns (“Creator Share”).
  • B. Net Payout: You receive the remaining eighty percent (80%) of the Creator Share.
8.3. Settlement Schedule and Withdrawal Terms.
  • Settlement cycle: Campaign performance is aggregated monthly (1st to the last day of each month). Performance for campaign month M is reconciled and confirmed in month M+1, and credited to your wallet in month M+2, at which point it becomes available for withdrawal.
  • Withdrawal request: You request withdrawals yourself, and each request withdraws the full available balance in your wallet (partial withdrawals are not available).
  • Minimum withdrawal: Domestic (Korea) creators (KRW) need at least KRW 50,000, and overseas creators (USD) need at least USD 50, to request a withdrawal.
  • Payout dates: Withdrawals requested from the 1st to the 15th of a month are paid by the 25th of the same month; withdrawals requested from the 16th to the last day of a month are paid by the 10th of the following month.
  • Identity verification (KYC): You must complete identity verification when you request a withdrawal.
  • Processing: Payouts are processed through settlement and remittance service providers engaged by the Company. You must provide valid payment details and tax documents (e.g., W-9, W-8BEN, VAT number, tax invoice issuance information).
8.4. Taxes.
  • Domestic individuals (freelancers) and foreign residents in Korea: 3.3% is withheld from the payout.
  • Domestic businesses (sole proprietors and corporations): A tax invoice is issued (reverse issuance), and 10% VAT is added to the settlement amount.
  • Overseas creators: The Company does not withhold tax.
  • Apart from the items handled by the Company above, you are responsible for determining, reporting, and paying any other taxes (such as income tax, VAT, or GST) related to your Net Payout. If the Company is required by the laws of the Republic of Korea or any other jurisdiction to withhold taxes, the Company will deduct such amounts from your Net Payout and remit them to the appropriate tax authority.
8.5. Currency Conversion and Transaction Fees. Due to currency conversion and various transaction fees, the actual amount you receive may differ from the Net Payout. 8.6. Receipt of Funds. The Company’s obligation to remit the Net Payout to you is conditional upon the Company’s actual receipt of the corresponding funds from the applicable Game Company. Receipt of such funds is a condition precedent to your right to receive payment, and under no circumstances will the Company be liable for Game Companies’ non-payment. 8.7. Change of Fees. The Company may change the Service Commission; provided, however, that any change will be posted on the Platform and notified to you individually by email or similar means at least 30 days before the effective date, and will apply from the announced effective date. 8.8. Inactive Accounts. If you fail to log in, transact, or update payment details for twelve (12) consecutive months (“Inactive Account”), the Company may, after prior notice by email, convert your account to inactive status. The Company does not charge any maintenance fee on Inactive Accounts; any remaining balance is held in accordance with applicable law and paid out to you upon request under the withdrawal conditions. 8.9. Sanctions and Fraud. The Company cannot process payments to individuals or entities on sanctions lists (e.g., the OFAC SDN List) or located in sanctioned jurisdictions. The Company may freeze or forfeit funds if it suspects fraud, botting, or a violation subject to the measures in Section 5.3.

9. Data Rights and Privacy

9.1. Platform Data. The Company owns all rights, title, and interest in the data generated by the Platform, including performance metrics, Campaign analytics, matchmaking logic, and aggregated creator statistics (“Platform Data”). You grant the Company the right to use your Account data to generate anonymous, aggregated insights for Game Companies (e.g., “Average Views for Strategy Games”). 9.2. Privacy Policy. Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and share your personal information. By using the Platform, you consent to the data practices described therein. 9.3. YouTube API Data Retention Limitation. PlayCamp does not store channel statistics and video metrics collected via the YouTube API (including view counts, subscriber counts, and likes) for more than 30 days from the date of collection. After this 30-day period, such data is automatically deleted or refreshed with the most current available data. This measure complies with the YouTube API Services Developer Policies (Policy III.E.4.a-g), and as a result, certain statistics displayed on the Creator Dashboard may be updated periodically.

10. Term and Termination

10.1. Term. These Terms commence on the date you first accept them (by creating an Account or using the Services) and remain in effect while you use the Platform, unless terminated earlier in accordance with this Article. 10.2. Termination by You. You may terminate these Terms at any time by closing your Account and discontinuing all use of the Platform, provided that you have completed all active Campaigns and delivered all pending Deliverables. 10.3. Termination by the Company. The Company may suspend or terminate your Account and your access to the Platform if you breach these Terms and fail to cure the breach within seven (7) days after written notice.
  • Termination for Cause: The Company may immediately terminate your Account without notice if: (a) you commit a serious violation defined in Section 5.3, such as fraud or illegal activity; or (b) we are required to do so by law.
  • Other violations of the Code of Conduct (Article 4) may lead to termination if they are not cured after the graduated measures in Section 5.3.
10.4. Effect of Termination. Upon termination:
  • All licenses granted by the Company to you will immediately cease.
  • You remain obligated to complete any accepted Campaigns or return the value of any Game Keys or Game Assets received.
  • The Company will pay out any remaining Net Payout balance owed to you, unless your termination was due to fraud or a violation of these Terms resulting in damages to the Company.
  • The licenses you granted to the Company (Section 6.3) and Game Companies (Section 6.2) survive termination.

11. Disclaimer of Warranties and Limitation of Liability

11.1. “As Is” Basis. THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY GAME KEYS OR CAMPAIGN OPPORTUNITIES WILL BE AVAILABLE. 11.2. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OR THEIR OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS OR DATA) ARISING FROM YOUR USE OF THE PLATFORM.
  • Liability Cap: OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF THE TOTAL NET PAYOUTS PAID TO YOU BY THE COMPANY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY U.S. DOLLARS (USD 50).

12. Indemnification

12.1. Indemnity. You agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents, and, to the extent any claim is asserted against them in connection with your use of the Platform, the applicable Game Companies and their officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:
  • Your access to or use of the Platform;
  • Your User Content (including claims that your content infringes a third party’s intellectual property rights);
  • Your violation of these Terms or the Code of Conduct;
  • Your failure to comply with applicable laws (including advertising disclosure guidelines and tax regulations); or
  • Any dispute between you and a Game Company.

13. Governing Law and Dispute Resolution

13.1. Governing Law. These Terms and any action related thereto are governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of laws principles. 13.2. Dispute Resolution. You and the Company agree to first attempt to resolve any dispute informally for at least thirty (30) days. If the dispute is not resolved:
  • Jurisdiction: Any legal suit arising out of or related to these Terms or the Platform shall be brought before the court having jurisdiction under the Civil Procedure Act of the Republic of Korea. For creators without a domicile or residence in Korea, the Seoul Central District Court may serve as the competent court.
13.3. Class Action Waiver. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 13.4. Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be deemed severed and the remaining provisions will remain in full force and effect. 13.5. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Platform and supersede all prior agreements or understandings.

Addendum

  1. These Terms take effect on October 20, 2026.
  2. Campaigns started before the effective date remain subject to the previous terms until that campaign ends. However, changes favorable to creators apply from the effective date.
